Happy Creek announces $1.1 million financing with Resource Capital Funds

August 24, 2015 – Vancouver, British Columbia. Happy Creek Minerals Ltd. (TSXV: HPY) (the “Company) is pleased to announce that it has arranged for a private placement financing with Resource Capital Funds V1 LP (RCF) of Denver, Colorado.

The Company intends to complete a non-brokered, non-flow-through, private placement of CDN $1,100,000 through the sale of 10 million Units at a price of eleven cents per Unit. Each Unit will consist of one common share and one half of one share purchase Warrant. Each whole Warrant will entitle the holder to purchase one common share of the Company for a period of three years after closing at an exercise price of fifteen cents.

The private placement is subject to TSX Venture Exchange acceptance. The shares underlying the units and any shares acquired on exercise of the warrants will be subject to resale restrictions. RCF VI will become an insider of the Company and no brokerage or finder fees are payable on this transaction.

Proceeds of the financing will be used to further explore the Company’s Fox tungsten project, in B.C., Canada and for general working capital.
